CBS and Viacom are one important step closer to merging under the CBS name, creating one of the country’s largest programming and broadcasting powerhouses.

Last week, the two companies’ board of directors agreed on who would run the combined company that will be worth tens of billions of dollars.

Under the agreement, the top spot will go to current Viacom CEO Bob Bakish, according to a report in the Los Angeles Times. Bakish has been working with Viacom to transform its operations in a world increasingly dominated by cord-cutting and online streaming. Viacom had a reputation of being ruthless with its cable and satellite partners, demanding some of the industry’s highest rates for Viacom-owned cable channels, causing some cable operators to drop Viacom networks from their cable TV lineups.

It will not be the first time CBS and Viacom have been merged. Owner Sumner Redstone kept the two companies together until splitting them apart in 2006. Shortly after, Redstone’s declining health led to warring factions inside the two companies and several legal disputes with Sumner’s daughter Shari, who took over for her 96-year-old father. Former CBS CEO Les Moonves long opposed a merger between CBS and Viacom, but Moonves was forced out of CBS because of a burgeoning sexual harassment scandal. His replacement, acting CBS CEO Joseph Ianniello, is said to be sanguine about the merger deal, even though it would result in a demotion to managing CBS’ broadcast network, owned and operated TV stations, and Showtime.

The merged company would absorb Viacom into CBS, putting assets including Comedy Central, MTV, VH-1, Nickelodeon, BET, and Paramount Pictures under CBS ownership and control.

Three people close to the situation cautioned talks were still ongoing and not final.

Maine Considers New Law Forcing Cable Companies to Sell TV Channels A-La-Carte

Charter Spectrum serves a significant part of the state of Maine.

The Maine state government is reviewing a measure that would require all cable operators in the state to offer customers the chance to buy individual cable channels instead of being forced into a large and costly package of dozens, if not hundreds of unwanted TV channels.

“The senior citizens in my area want to watch the Boston Red Sox,” says Rep. Jeffrey Evangelos, an independent from Friendship. “The package that Spectrum is offering in Maine that includes the Red Sox costs about a hundred bucks. These people are making $800 bucks a month on Social Security. They’re bemoaning to me at the doors, you know, ‘I can’t afford television anymore Jeff.’ And they grew up in an era when television was free.”

Maine Public Radio reports Evangelos’ solution is an insertion of a single sentence into the state franchising law:

A cable system operator shall offer subscribers the option of purchasing access to cable channels, or programs on cable channels, individually.

The proposed change won support from a state legislative committee, but scorn from cable industry lobbyists that claim the proposed measure violates federal law.

Chris Hodgdon, a Comcast lobbyist, pointed to the specific statute forbidding states from telling cable operators how to conduct business: “No state shall regulate the products, rates, services of a cable provider.”

Charter Spectrum’s regional lobbyist Melinda Kinney warned any such law would likely face immediate court challenges. Kinney complained the measure was unfair because it targets cable operators while excluding satellite and streaming providers. But consumer advocates argue that the law could actually help the cable industry as cord-cutting becomes a national phenomenon. Subscribers agree.

“I’d sign back up for cable TV in a minute if I could pick my own channels and pay a reasonable price,” said Jack Winters, 71, a former Comcast customer near Brunswick. “Comcast makes you take all or nothing so I took nothing. I miss not getting Fox News Channel, Turner Classic Movies, and Hallmark, but my bank account doesn’t.”

Sen. Angus King, the independent senator from Maine, has done his part to investigate whether such a state law would violate federal deregulation measures. He took the proposal to the FCC.

Patrick Webre, chief of the FCC’s Consumer and Governmental Affairs Bureau responded that no state has passed such a law before, so he couldn’t say much:

“In your letter you asked whether a state mandate that a cable operator provide a-la-carte services would be pre-empted by federal law. This poses a question of first impression, and we could not locate any specific Commission rules that addresses your exact issue. Thus we are not in a position to express an opinion on the question you raise.”

Under the Trump Administration, however, the Republican majority controlling the FCC would likely oppose the measure because it would introduce new regulations on the industry, something that has historically been anathema to Chairman Ajit Pai and Commissioner Michael O’Rielly. Republican Commissioner Brendan Carr, formerly a lawyer for Wiley Rein, which represents the interests of several large telecom companies, would likely also oppose the measure.

The bill now moves to the full Legislature on a tri-partisan vote of 8-2 and will be debated first in the House.

Spectrum Combats Cord Cutting With Spectrum TV Essentials: $14.99 for 60 Streamed Networks

In a move that clearly signals cord-cutting is taking a toll on Spectrum cable television, Charter Communications today unveiled a new streaming TV service priced to compete with “over the top (OTT)” streaming services like YouTube TV and DirecTV Now.

“Spectrum TV Essentials” will offer a package of 60 national cable networks for $14.99 a month, when the streaming service debuts in March. The lineup avoids costly cable channels focused on sports and will include no local channels.

“Spectrum TV Essentials is a OTT offering designed to provide Spectrum internet-only customers a new low-price, high-value video option,” said Charter CEO Tom Rutledge. “As we began to assemble the rights for this new video service, we received great enthusiasm and encouragement from these key programming partners, who share our view and embrace creating an innovative video offering we believe will resonate with our internet customers.”

Remarkably, one of Charter’s first programming partners for the newest slimmed-down cable TV package is Viacom, notorious for its bouquet of high-priced cable networks. Viacom has been so insistent on regular rate increases and forced bundling of multiple Viacom-owned cable networks, some cable systems like Cable One dropped all Viacom networks from their lineups just a few years ago.

A management change at Viacom apparently included a new willingness to combat cord-cutting.

“Viacom shared its strong belief and research that suggests there is a large untapped opportunity for a low-priced, entertainment-only bundle unencumbered by the high cost of broadcast retransmission consent fees and expensive sports programming,” Rutledge noted.

The 60-channel lineup is heavy on content from Discovery Networks, Viacom, Hallmark, and AMC. News junkies will be unhappy to find CNN, MSNBC, and Fox News are not on the lineup, although lesser-watched BBC World News, Bloomberg, and NewsmaxTV are there.

There will be no DVR option at launch, but Charter is reportedly testing cloud DVR technology for introduction later.

We’re excited to have our global brands as part of Spectrum TV Essentials at launch.”

Access will initially be available on the desktop through SpectrumTV.com and Spectrum’s Roku app. The service will also be available on iOS and Android phones and tablets, Apple TV, Xbox One, Amazon Kindle Fire, and Samsung Smart TVs.

Charter Spectrum Refuses to Air Political Ad Slamming Spectrum for High Rates

Brindisi’s ad has been “censored” by Charter Spectrum.

A Democratic candidate running for Congress in central New York cannot get his 30-second ad slamming New York’s biggest cable company on Spectrum’s cable channels.

Anthony Brindisi slammed Charter Communications for “censoring” his campaign by refusing to air his latest ad which claims Spectrum has almost doubled its rates since taking over for Time Warner Cable and has broken its promises to the state. Brindisi also accused his Republican opponent — incumbent Rep. Claudia Tenney — of siding with the cable company, and “voted to give the company a $9 billion tax cut while they were raising our rates.”

The fact that Brindisi opens his ad claiming, “if you’re watching this ad on Spectrum cable, you’re getting ripped off,” may have been partly responsible for Charter’s refusal to air his ad.

“The ad did not meet our criteria,” said Maureen Huff, a spokesperson for Charter Spectrum.

But the ad is not factually inaccurate, just hyperbolic. Many Spectrum customers complained about steep rate increases switching between their original Time Warner Cable plans and new plans offered by Spectrum. Some customers needed to upgrade to higher tier cable TV packages to keep channels they would otherwise lose and the company’s ongoing digital conversion convinced many customers they needed to rent set-top boxes for every television in their home, at a substantial cost.

Brindisi’s claim that “Claudia Tenney’s campaign is bankrolled by Spectrum,” is slightly misplaced, although Charter Communications has spent $5,000 on contributions to her campaign in 2017. In fact, Comcast is her third largest contributor, spending $12,900 on her campaign so far during the 2017-2018 election cycle. The Koch Brothers, a cable industry ally, comes in fourth.

Brindisi hoped to air his ads in the Utica and Binghamton markets through Spectrum, but will have to spend more buying time on over the air channels. He says he doesn’t like Spectrum’s stranglehold on local views aired on cable channels.

“It’s a scary precedent for them to be setting just because I’ve been a vocal critic of the company,” Brindisi told the New York Times. “I don’t think I should be precluded from informing the public about their practices here in New York State and letting people know that, at the same time they are raising your cable rates, they are a big beneficiary of the tax bill and a major supporter of my opponent.”

Independent Cable Companies Selling Philo Streaming Alternative to Cord-Cutters

The National Cable Television Cooperative (NCTC) has reached an agreement allowing its 750 independent cable, video, and broadband providers the opportunity of selling Philo, a streaming cable TV alternative, to customers.

Philo, which offers up to 49 cable channels owned by Discovery, Viacom, AMC, and A&E Networks, normally sells for $16-20 a month, depending on package.

The deal gives independent cable companies affiliated with NCTC another retention tool for cord-cutters looking for an alternative to a traditional cable television package. It also offers a less expensive bundled TV option for customers subscribing to a broadband-only provider. In all, NCTC members offer service to nine million Americans.

“Our partnership with NCTC will expand the available options for millions of TV lovers by giving them access to the unique entertainment-focused package we’ve created,” explained Andrew McCollum, Philo’s CEO. “Philo is a perfect complement to the existing services, particularly high-speed internet, that these companies already offer.”

Subscribers can watch Philo through browsers, Amazon Fire TV, Apple TV, Roku, iPhone App & Android via Chrome, as well as 37 TV Everywhere apps and websites for participating networks.

Also included:

  • The ability to watch on up to three different devices at the same time;
  • An unlimited 30-day DVR, on-demand library, pause any live channel, start programs from the beginning, and watch programs that have aired in the past three days;
  • A streamlined interface, intelligent search, and the ability to easily send your favorite shows to others;
  • Easily share favorite shows with friends and family. For non-Philo users, signing up and watching is as easy as entering a phone number;
  • Subscribers are eligible for a $5 Philo credit for referring friends and family and there’s no limit to number of referral credits an individual can earn.

Philo lacks agreements with popular sports networks, WarnerMedia networks like TNT and CNN, and local over the air stations. It also does not sell premium channels.
