Comcast Trying to Get Rid of Public Service Obligations in Vermont

A requirement that Comcast must operate in the public interest of the people of Vermont may result in the cable company filing suit against the state.

Comcast is upset about the state’s “Certificate of Public Good,” which puts a responsibility on Comcast to support Vermont’s public access channels, include their programming lineups in electronic program guides, and expand service with 550 additional miles of cable line extensions over 11 years.

Comcast lobbied the Vermont Public Utility Commission to drop the requirements, but their request was turned down last week.

“We are disappointed the Vermont Public Utility Commission chose to deny our motion for important amendments necessary to fairly compete in Vermont,” Comcast spokeswoman Kristen Roberts told Vermont Public Radio. “We are still reviewing the order and have not yet determined our next steps.”

Comcast told the Commission upgrades would be costly and cumbersome, particularly because many of its systems in the state were acquired from Adelphia, a cable company that declared bankruptcy in 2002 as a result of executive corruption. Most of its cable systems, some in disrepair, were sold to Time Warner Cable and Comcast, who were forced to commit additional funding to upgrade them soon after the acquisitions were complete.

The Commission was not impressed with Comcast’s arguments, suggesting the requests in the Certificate were achievable and given a long lead time to complete.

Comcast may appeal the order in court.

I testified last evening at the Buffalo Public Information Meeting held by the New York Public Service Commission on the merger of Comcast and Time Warner Cable.

The regulator invited four witnesses to testify about the merger last evening. The other three:

  • Mark E. Reilly, Comcast’s senior vice president of government affair, northeast division (for);
  • Aaron Bartley, executive director of PUSH Buffalo (against);
  • Christine Carr, executive director of Computers for Children (neutral).

The meeting was sparsely attended with only about two dozen in the audience, a good number of those arriving from Rochester. Also in attendance were groups with direct financial connections to Comcast, some partly disclosed during the evening, others not. Readers will not be surprised they were strongly in favor of the merger. Common Cause was represented and was clearly against the merger, although their representative also had harsh words for Time Warner Cable.

Niagara County Legislator David E. Godfrey (R-Wilson) and Orleans County Legislator Lynne M. Johnson (R-Lyndonville), representing the Niagara Orleans Regional Alliance, spoke on behalf of rural New Yorkers who lack broadband service. Neither went on record opposing the merger but seemed to suggest its approval be tied to a rural broadband solution. The record on successfully pulling that off in earlier deals has been mixed at best. The cable industry treats its Return On Investment formulas like a biblical text. If expanding service isn’t going to make the companies money in the short term, it is very unlikely to happen. We believe New York’s broadband subsidy program is a better deal for consumers if it means keeping Comcast out of New York.

The audience was almost entirely silent during the event and it wrapped up earlier than originally planned. Buffalo seemed less engaged on broadband issues than I would have expected. Had the hearing been held in Rochester, I have no doubt the audience would have been far larger. Broadband matters in Rochester have always drawn crowds and significant news coverage. One Buffalo resident offered that the PSC chose its meeting location poorly — on “an out of the way” college campus in Amherst now in summer session that charges for parking (although we did park for free). Others have told us the meetings were poorly advertised. Thankfully, the PSC is keeping the record open for comments in writing and by phone.

The strongest contrast of views came from testimony from Mr. Reilly and myself, although the meeting was not configured as a debate.

Mr. Reilly did not seem well-informed about specifics regarding Comcast’s products and pricing. He stumbled through incomplete answers when asked directly (twice) to compare Comcast’s prices against Time Warner Cable. Unfortunately, the question and answer session did not allow for interjection from other witnesses, because if it did, I was more than ready to help Mr. Reilly answer that question because I brought the rate cards for both companies with me. Perhaps he did not want to answer, because as the evidence clearly shows, Comcast costs more.

He also implied Comcast had widely deployed up to 505Mbps broadband service in its service area. Speeds of 300-500Mbps are offered only to a limited number of customers that can, number one afford the high asking price ($300/month plus installation fee) and second are passed by Comcast’s fiber or Metro Ethernet networks.

We also disagreed over usage caps. Reilly claimed the average Comcast customer used just 17GB a month. Comcast’s own website claims median monthly data usage is 20-25GB per month. But according to Digital Trends, the average family with Internet-only service uses 212GB of data each month — more than seven times those who watch traditional television. That is because after cutting cable-TVs cord, they are watching shows over their broadband connection. That number is rising, and fast. Over the four years Comcast had a nationwide cap, it did not adjust it upwards even once to account for broadband growth.

Independent analysis from Sandvine found that Internet users, in general, are accessing increasingly larger amounts of data. The overall mean usage on North American fixed-access networks (as opposed to mobile networks) was 51.4 GB in March, which is up from the 44.5 GB noted in Sandvine’s most recent previous study. Cord-cutters as a whole now dominate network usage, accounting for a 54-percent majority of total monthly network traffic. Cord-cutters are also responsible for some of the cable industry’s biggest revenue challenges with their television packages.

The old industry meme that usage caps affect only a tiny minority of customers was also trotted out. We did not have the opportunity to ask, “if only a tiny percentage of customers exceed their allowance, why bother with usage caps at all?”

Time Warner Cable was not represented at the meeting, and in an ironic twist, that left me as their unofficial spokesbooster. In fact, nobody seemed aware of Time Warner Cable’s Maxx upgrade program which is delivering faster, more affordable Internet access than Comcast offers over its cable broadband network without the threat of looming usage caps.

Internet affordability emerged as a major topic last evening. Predictably Comcast touted its $9.95 Internet Essentials program without mentioning its highly restrictive pre-qualification requirements:

The program is only available to households that (i) are located where Comcast offers Internet service; (ii) have at least one child who receives free/reduced rate school lunches through the National School Lunch Program (the “NSLP”) and as confirmed annually while enrolled in the program; (iii) do not have an overdue Comcast bill or unreturned equipment; and (iv) have not subscribed to any Comcast Internet service within the last ninety (90) days (sections 1(i)-(iv) collectively are defined as “Eligibility Criteria”). The program will accept new customers for three (3) full school years, unless extended at the sole election of Comcast. Comcast reserves the right to establish enrollment periods at the beginning of each academic year in which it accepts new customers that may limit the period of time each year in which you have to enroll in the program.

2. In order to confirm your eligibility for the program, Comcast will need to verify that your children receive free/reduced rate school lunches through the NSLP in the initial enrollment year and each subsequent year you are enrolled in the program. In order to confirm eligibility, participants in the program will be required to provide copies of official documents establishing that a child in the household is currently receive free/reduced rate school lunches through the NSLP. Each year you will be required to reconfirm your household’s current eligibility by providing Comcast or its authorized agent with up-to-date documentation. If you fail to provide documentation proving your eligibility in the program, you will be deemed no longer eligible to participate in the program.

3. You will no longer be eligible to participate in the program if (i) you no longer have at least one child living in your household who receives free/reduced rate school lunches under the NSLP; (ii) you fail to maintain your Comcast account in good standing; (iii) Comcast ceases to provide the Covered Service to your location; or (iv) your account opened under the program is closed. A change in address may result in your account being closed, even if you continue to receive Comcast services at a different address. Program participation also may be terminated if the Covered Service is upgraded, altered or changed by you for any reason. If you are no longer eligible for the program, but continue to receive the Covered Service from Comcast, regular rates, and any other applicable terms and conditions will apply to the Covered Service.

In brief, you can only qualify if you don’t have Comcast Internet service already. If you do, Comcast demands you stay without Comcast Internet service for at least 90 days before applying (good luck making that work). This is nothing more than a revenue protection mechanism for Comcast so that customers don’t downgrade to discounted Internet. Only poor families with school age children qualify and Comcast intrusively re-verifies eligibility regularly. Had a past due bill in the past or loss/stolen equipment? You are not qualified. Miss a payment? Comcast can kick you off the program. Try to upgrade any part of your Comcast package? You are done with Internet Essentials. Move to a new address? Your Internet discount isn’t going with you.

John Randall from the Roosevelt Institute came to a similar conclusion:

Comcast’s Internet Essentials program does more to benefit Comcast’s customer acquisition, public relations, and lobbying departments than to help people in America who need high-speed Internet access at a reasonable price. The reality is that the program is a cleverly designed customer acquisition program that benefits Comcast’s bottom line.

It was also a cynical way to help Comcast win approval of its merger with NBCUniversal. Comcast held back the program until they could use it as a political chip in their merger lobbying campaign. As we reported back in 2012:

In 2009, Comcast insiders were hard at work on a discount program for the disadvantaged who could not afford Comcast’s regular prices for broadband service. But the program was stalled at the direction of Cohen, who wanted it to be a chip with regulators to win approval of its acquisition of NBC-Universal. The program, sure to be popular among advocates of the digitally disadvantaged, was a key part of approving the $30 billion deal.

“I held back because I knew it may be the type of voluntary commitment that would be attractive to the chairman [of the FCC],” Cohen said in a recent interview.

Lastly, Mr. Reilly repeatedly confessed Comcast did not know the state of Time Warner Cable’s system and equipment and could not answer questions about precisely how much Comcast would invest in upgrades. He admitted Comcast’s part-acquisition of Adelphia Cable (its systems were largely divided up between Comcast and Time Warner) resulted in a major under-estimate of repair and upgrade work required.

If I buy a used car, I take it to an expert who can describe its current condition, alert me to likely service required both now and in the near future, and predictions about the vehicle’s anticipated lifetime. Apparently Comcast buys cable systems sight-unseen.

It was widely known in the industry at the time that troubled Adelphia Cable properties were neglected as the company neared bankruptcy. Imagine Adelphia as a metaphor for the state of Sears or K-Mart these days.

Two members of the Rigas family that founded Adelphia were convicted on multiple charges of securities fraud, conspiracy to commit bank fraud and bank fraud. Prosecutors said the Rigases hid the fact the company was dangerously overextended with $2.3 billion in unreported debts. The family used the company’s bank accounts to finance a range of personal follies, including 100 pairs of slippers for Timothy Rigas and more than $3 million to produce a film by John Rigas’ daughter. We don’t know if the film was actually any good.

At the end of the evening in Buffalo, we were still left with the impression Comcast’s promises and commitments were vague and the much-touted benefits were much to be desired as soon as you began reading the fine print.

But frankly, I was disappointed by the low turnout. Consumers who do not want Comcast to be their next Internet provider -must- make their feelings known or that is precisely what is going to happen. We need all New Yorkers within travel distance of Albany or New York City to pack the PSC’s meeting rooms and have the courage to get up and speak. You can talk for 30 seconds or 3-5 minutes. You can also write or call the PSC if you want to extend your remarks in writing. New Yorkers have the power to throw a major wrench into a deal very few of us wants. But only if they make their voices heard:

Cable’s Ancestor.com: Now You Can Trace Back the Origins of Your Higher Cable Bill

Bigger is not better. Despite endless claims that mergers, acquisitions and consolidation brings operating efficiencies and cost savings, for most customers it means only one thing: a higher cable bill. The Wall Street Journal traced the ancestors of some of today’s largest cable operators, cobbled together in takeovers, buyouts, and in the case of Adelphia, criminal activity leading to bankruptcy and absorption by Comcast and Time Warner Cable .

Wall Street analysts are pondering what deals are coming next, with Cablevision, Suddenlink, Mediacom, and Cable ONE all top targets. Among the current players, Charter is by far the most aggressive buyer and will likely be in the market for some or all of those smaller cable systems soon enough. Just remember, someone has to pay for those blockbuster merger deals, debt financing and executive bonuses.

Anyone in their 40s probably can recall companies like Jones, TCI, Falcon, Prime and Media General. They are all long gone, much the same way Bell Atlantic, SBC, Pacific Bell, BellSouth, and Ameritech have been absorbed into the AT&T and Verizon Continuum.

Charter Communications does not like the resistance it is getting from Time Warner Cable executives over its bid to acquire the company so Charter has nominated 13 new members for TWC’s board of directors in an effort to force executives to reconsider.

Charter calls the baker’s dozen a slate of “independent candidates” that will be willing to evaluate Charter’s offer of $132.50 a share. Time Warner Cable’s current management says it won’t negotiate with Charter unless they offer $160 a share.

“It is clear from our meetings with Time Warner Cable shareholders that there is an overwhelming desire to combine these two companies to increase Time Warner Cable’s competitiveness, grow market share and create shareholder value.  Now is the time for the current Board and management of Time Warner Cable to respond to their shareholders and work with us to complete a merger to the benefit of shareholders while minimizing their execution and market risks,” said Tom Rutledge, Charter’s CEO.  “We are nominating a full slate of highly qualified, independent directors to elect to the Time Warner Cable Board and believe that stockholders will use this opportunity to express their views.  Our purpose in this proxy contest is to enable shareholders of TWC to raise their voice, and to provide a very capable board who will hear them.”

Charter has gotten a lucky break because all 13 current TWC board members are up for re-election at the same time this spring. Many companies avoid that practice to prevent a hostile bidder from taking control of an entire company’s board.

Charter’s roster of nominees includes a number of current or former CEOs, three former Wall Street lawyers and an ex-chief technology officer that used to work for Time Warner Cable. Many were associated with hedge funds, cable operators that sold out to larger players, or companies that either went bust during the Great Recession and were bailed out by U.S. taxpayers.

Charter Communications’ ‘Rescue Team’ for Time Warner Cable

  1. James Chiddix: A cable industry veteran who formally retired in 2007, Chiddix worked for Time Warner Cable from the mid-80s until 2001. He now serves as a director at Arris Group, a manufacturer of cable equipment. Chiddix served on the board of Virgin Media, acquired last year by Liberty Global — which also has an ownership interest in Charter Communications;
  2. Bruno Claude: Known primarily as a “turnaround” expert, Claude has a record of restructuring troubled telecom operators by cutting jobs and negotiating with the large investment banks that generously loaned the money that fueled overvalued takeovers to write down that debt when banks realize they have no hope of being repaid in full;
  3. Isaac Corre: Currently a lecturer at Harvard Law School, where he teaches a seminar on executive compensation and corporate governance, Corre spent a decade at Eton Park Capital Management, L.P., a global hedge fund. Corre specialized in “event-oriented” investments and “distressed corporate debt”;
  4. super friendsMarwan Fawaz: Spent a year in a leadership role at Motorola Mobility/Motorola Home Division. He has the distinction of serving as an executive at two bankrupt cable operators: Charter Communications and Adelphia. Charter eventually emerged from bankruptcy, Adelphia did not and two members of its founding family are spending 15 years in the Allenwood federal prison, convicted of wire and securities fraud. Charter’s press release says Fawaz would be a valued addition to the board because he has “a deep understanding of the cable television industry”;
  5. Lisa Gersh: Lasted less than a year as CEO of Martha Stewart Living Omnimedia. Under her leadership, the company capped a year of turmoil that included layoffs, titles closing and the failure of Martha’s underwhelming Hallmark Channel show, according to Adweek. She was also a co-founder of Oxygen Media, which was sold to NBC;
  6. Dexter G. Goei: An investment banker at Morgan Stanley back when it was hip deep in sub-prime mortgages and a taxpayer bailout, Goei was gone by 2009 and became CEO of Altice, S.A., a multinational cable company growing through acquisitions and takeovers. Goei is raising more capital through a stock IPO managed by Goldman Sachs and… Morgan Stanley;
  7. Franklin (Fritz) W. Hobbs: In addition to serving as an adviser to private equity firms and director of Molson Coors Brewing Co., Hobbs has served as board chairman at Ally Financial, formerly GMAC, as GM declared Chapter 11 bankruptcy and was bailed out by U.S. taxpayers;
  8. Neil B. Morganbesser: An investment banker, Morganbesser worked on mergers and acquisitions at Bear Stearns & Co., until the company’s sub-prime hedge funds sank like the Titanic. The investment firm was seeking taxpayer assistance, but ended up being acquired by J.P. Morgan in a hastily arranged deal instead. Charter claims Morganbesser has 20 years of experience providing financial and strategic advice to a full range of clients, including entrepreneurs, large corporations, governments, etc., but evidently wasn’t much help to his employer during the global financial crisis.
  9. Eamonn O’Hare: Served as the chief financial officer of Virgin Media Inc., the UK’s leading cable television business, from 2009 until 2013. Unfortunately for him, most U.K. residents prefer satellite TV. But that didn’t hurt his bottom line. After Liberty Global acquired the operation in 2013, O’Hare got to share over $367 million in cash bonuses with certain other Virgin executives coming from a company that also has a vested interest in Charter Communications;
  10. David A. Peacock: Another beer guy, Peacock most recently served as the president of Anheuser-Busch;
  11. Michael E. Salvati: Another mergers and acquisitions guy, Salvati has been president at Oakridge Consulting, Inc., which provides interim management, management consulting and corporate advisory services to companies ranging in size from start-ups to multinational corporations, since February 2000. In short, he tries to promote financial growth at companies recently merged or acquired;
  12. Irwin Simon: Founder of the Hain Celestial Group, a leading “natural and organic products company.” Brands including Arrowhead Mills, Bearitos, Rosetto and Rice Dream are well-known in organic food sections of local supermarkets, although few customers probably realize they belong to a giant conglomerate. Other divisions, specializing in “woo-woo personal care” offer dubious “calming body washes” costing $13 or more that feature extract of marigold. Charter says Simon would bring “his unique perspective on all aspects of advertising and marketing services” to a newly merged Charter-Time Warner Cable;
  13. John E. (Jack) Welsh III: president of Avalon Capital Partners LLC — another private equity investment firm.

analysis“If Time Warner Cable management refuses to negotiate on reasonable terms, we believe Charter will likely secure the votes required to win a proxy fight,” said Jonathan Chaplin, a research analyst with New Street Telco.

“It is clear that Charter is nominating a slate of directors for the sole purpose of pressuring our Board into accepting the same lowball offer that it previously considered and unanimously rejected,” said Time Warner Cable CEO Rob Marcus. “Our Board remains focused on maximizing shareholder value. We are confident in our strategic plan, which was detailed publicly on January 30, and we are not going to let Charter steal the company.”

Marcus may have one last card to play should Charter’s nominees end up on Time Warner Cable’s board of directors. All board members must serve the best interests of the company they oversee, not the company that helped get them elected. An independent evaluation of Charter’s offer must not be influenced by outsiders, or the board members may face lawsuits from angry shareholders. The Wall Street Journal notes this requirement has tripped up hostile bidders before. Air Products & Chemicals Inc. won three board seats at Airgas Inc. which Air Products had tried to buy back in 2010. Once on the board, the new board members recommended against the deal.

Wall Street Erupts in Frenzy Over Proposed Sale and Breakup of Time Warner Cable

News that two major cable operators are contemplating breaking up Time Warner Cable and dividing customers between them has caused stock prices to jump for all three of the companies involved.

CNBC reported Friday that Time Warner Cable approached Comcast earlier this year about a possible friendly takeover under Comcast’s banner to avoid an anticipated leveraged takeover bid by Charter Communications. Top Time Warner Cable executives have repeatedly stressed any offer that left a combined company mired in debt would be disadvantageous to Time Warner Cable shareholders, a clear reference to the type of offer Charter is reportedly preparing. But the executives also stressed they were not ruling out any merger or sale opportunities.

feeding frenzyNews that there were two potential rivals for Time Warner Cable excited investors, particularly when it was revealed possible suitor Comcast is also separately talking to Charter about a possible joint bid that would split up Time Warner Cable customers while minimizing potential regulatory scrutiny.

The Wall Street Journal reported Charter is nearing completion of a complicated financing arrangement that some analysts expect could include up to $15 billion in debt to finance a buyout of Time Warner Cable. Such deals are not unprecedented. Dr. John Malone’s specialty is leveraged buyouts, a technique he used extensively in the 1980s and 1990s to buy countless smaller cable operators in a quest to build Tele-Communications, Inc. (TCI) into the nation’s then-biggest cable operator.

In addition to Barclays Bank, Bank of America, and Deutsche Bank — all expected to finance Malone’s bid — Comcast may also inject cash should it team up with Charter’s buyout. Comcast is interested in acquiring new markets without drawing fire from antitrust regulators.

If the two companies do join forces and pull off a deal, Time Warner Cable’s current subscribers will be transitioned to Charter or Comcast within a year. That is what happened in 2006 to former customers of bankrupt Adelphia Cable who eventually became Comcast or Time Warner Cable customers. Analysts predict the two companies would divide up Time Warner Cable territory according to their respective footprints. New York and Texas would likely face a switch to Comcast service, for example, while North Carolina, Ohio, Maine, and Southern California would likely be turned over to Charter.

Both bids are very real possibilities according to Wall Street analysts. Comcast has sought formal guidance on how to deal with the antitrust implications of a controversial merger between the largest and second-largest cable operators in the country. The industry has laid the groundwork for another wave of consolidation by winning its 2009 court challenge of FCC rules limiting the total market share of any single cable operator to 30 percent. Despite that, a Comcast-Time Warner Cable deal would still face intense scrutiny from the Justice Department. Getting the deal past the FCC may be a deal-breaker, admits Craig Moffett from MoffettNathanson.

“The FCC applies a public interest test that would be much more subjective,” Moffett said. “It wouldn’t be a slam dunk by any means. The FCC would be concerned that Comcast would have de facto control over what would be available on television. If a programmer couldn’t cut a deal with Comcast, they wouldn’t exist.”

Supporters and opponents of the deal are already lining up. Charter shareholders would likely benefit from a Charter-only buyout so they generally support the deal. Time Warner Cable clearly prefers a deal with Comcast because it can afford a buyout without massive debt financing and deliver shareholder value. Comcast shareholders are also encouraging Comcast to consider s deal with Time Warner Cable. Left out of the equation are Time Warner Cable customers, little more than passive bystanders watching the multi-billion dollar drama.

The personalities involved may also be worth considering, because Comcast CEO Brian Roberts and John Malone have history, notes the Los Angeles Times:

Malone and Roberts first brushed up against each other more than two decades ago. At that time, both Liberty and Comcast were shareholders in Turner Broadcasting, the parent of CNN, TNT, TBS and Cartoon Network. When Time Warner, which was also a shareholder, made a move to buy the entire company,  there was tension because Comcast felt Liberty got a better deal to sell its stake. Roberts grumbled at the time that Liberty was getting “preferential treatment.”

A few years later, it was Malone’s turn to be mad at Roberts. When TCI founder Bob Magness died in 1996, Roberts made a covert attempt to buy his shares, which would have given him control of [TCI]. Malone beat back the effort, but it left a bad taste in his mouth.

Even cable stock analyst Craig Moffett is somewhat pessimistic a Comcast-TWC merger would have smooth sailing through the FCC’s approval process. Moffett worries Comcast would have too much power over programming content. (3:53)

Most of the cable industry agrees that the increasing power of broadcasters, studios, and cable programmers is behind the renewed interest in cable consolidation. The industry believes consolidation provides leverage to block massive rate increases in renewal contracts. If a programmer doesn’t budge, the network could instantly lose tens of millions of potential viewers until a new contract is signed.

Many in the cable industry suspect when Glenn Britt retires as CEO by year’s end, Time Warner Cable’s days are numbered. But any new owner should not expect guaranteed smooth sailing.

“We expect a Comcast-TWC deal would draw intense antitrust/regulatory scrutiny and likely resistance, stoked by raw political pushback from cable critics and possibly rivals who would argue it’s simply a ‘bridge too far’ or ‘unthinkable,’” Stifel telecom analysts Christopher C. King and David Kaut wrote in a recent note to clients. “We believe government approval would be possible, but it would be costly, with serious risk. This would be a brawl.”

While the industry frames consolidation around cable TV programming costs, broadband consumers also face an impact from any demise of Time Warner Cable. To date, Time Warner Cable executives have repeatedly defended the presence of an unlimited use tier for its residential broadband customers. Charter has imposed usage caps and Comcast is studying how to best reimpose them. Either buyer would likely move Time Warner Cable customers to a usage-based billing system that could threaten online video competition.

“Our sense is the DOJ and FCC would have concerns about the market fallout of expanded cable concentration and vertical integration, in a broadband world where cable appears to have the upper hand over wireline telcos in most of the country (i.e., outside of the Verizon FiOS and other fiber-fed areas),” Stifel’s King and Kaut wrote. “We suspect the government would raise objections about the potential for Comcast-TWC bullying of competitors and suppliers, given the extent and linkages of their cable/broadband distribution, programming control, and broadcast ownership.”

Since none of the three providers compete head-on, the loss of “competition” would be minimal. Any Comcast-Time Warner Cable deal would likely include semi-voluntary restrictions like those attached to Comcast’s successful acquisition of NBC-Universal, including short-term bans on discriminating against content providers on its broadband service.

Customers can expect a welcome letter from Comcast and/or Charter Cable as early as spring of next year if Time Warner Cable accepts one of the deals.
