FCC Planning to Allow Sweeping Mergermania for Local TV Stations

Along with a new TV season starting this fall, the Federal Communications Commission plans to launch a new season of sweeping deregulation in the broadcasting industry, allowing a handful of companies to acquire masses of local TV stations as a result of easing ownership limits.

Bloomberg News reports FCC Chairman Ajit Pai, with likely support from fellow Republican commissioner Mike O’Rielly, will unveil new rules that will allow TV station owners like Nexstar, Tegna, E.W. Scripps, and Meredith to acquire dozens of local stations, even in cities where they already own stations.

The new rules, likely to pass on a party line vote, would allow companies to own two of the four most-viewed stations in a market, in addition to several other lesser-rated outlets. Broadcasters are also heavily lobbying Republicans to insert another new rule that would lift the current ban on owning both the local daily newspaper and a TV station.

Broadcasters have been itching to launch a sweeping wave of station ownership consolidation to boost advertising revenue, cut costs, and gain more leverage over cable and satellite companies as they continue to raise fees charged for consent to carry those stations on pay television lineups.

The Obama Administration not only supported existing rules designed to protect local media diversity, it also strengthened them. The former administration believed that allowing local stations to consolidate was stripping some cities of competing local newscasts, reducing diversity of voices on local stations, and shifting local broadcasting further away from its public service obligations.

Public policy groups have criticized deregulation efforts for decades, particularly the 1996 Telecom Act, signed into law by President Bill Clinton. That legislation lifted ownership limits on radio stations, triggering a sweeping consolidation tsunami that allowed companies like iHeartMedia (formerly Clear Channel Communications) to build an empire of more than 1,200 stations nationwide (as many as eight stations in a single market) after a $30 billion spending blitz.

As a result of its heavy indebtedness, the company has struggled to pay back its $20 billion outstanding debt and has committed to multiple rounds of slashing expenses at its stations, resulting in dramatic cuts in local service and staff, and turning many of its stations into automated music jukeboxes with no local announcers or staff. Listener ratings declined as a result and on April 20, the company warned investors that it may not survive the next 10 months without bankruptcy reorganization protection. These groups worry consolidation will have a similar effect on free over-the-air TV’s sense of localism.

Ironically, Sinclair Broadcasting, now attempting to acquire the station portfolio owned by Tribune Media, will not be able to participate in the next wave of consolidation because it arguably has already broken another long-standing FCC rule prohibiting one company from owning over-the-air TV stations that reach more than 39% of the U.S. audience. That rule would not be changed as a consequence of the current deregulation proposals, but it would surprise no one to see Mr. Pai and Mr. O’Rielly attempt to repeal or modify it next year.

Pai and O’Rielly have been extremely critical of ownership restrictions in general. Pai has thus far advocated loosening local-TV limits, but O’Rielly has gone further calling for their complete repeal, arguing it “defies belief” that over-the-air stations have limits while they compete with “literally hundreds of competitive pay TV channels and essentially unlimited competitive internet content”

The Obama Administration argued the difference between over the air broadcasting and pay TV networks was primarily in their public service obligations. As a license holder, TV stations are required to provide service in the public interest in return for being granted a license to use the publicly owned airwaves. Since pay television networks do not use public property, they are not required to meet those obligations. Local stations, particularly those with local newsrooms, also have a long tradition of being critically important in times of public emergencies. Without an in-house staff, stations airing little or no local programming would be unlikely to continue that tradition.

Large TV owner conglomerates are already arranging financing for the impending station roundup. John Janedis, an analyst with Jeffries, told Bloomberg all of the larger TV station owners are eager for the relaxation of ownership rules so they can purchase their peers.

“The reality is everyone is talking to everybody,” Janedis said. “There are a lot of buyers out there.”

Two N.J. public-television stations will collect more than $330 million to turn off their transmitters.

At a time when the Trump Administration is signaling its interest in eliminating the small amount of funding still available to public broadcasting in the United States, the recent FCC Spectrum Auction brought some public stations much-needed revenue to complete station or facility upgrades and help underwrite the cost of locally produced programming. But some TV station owners will pocket tens of millions of dollars from auction proceeds earned from a license that was supposed to include a commitment to serve in the public interest.

Current – News for People in Public Media has tracked the station changes that will come to public-television stations as a result of the spectrum auction. In most cases, the public-TV stations that sold their channel position will not disappear entirely. Many will “merge into other station’s spectrum” — which means in plain English they will share space with another local station.

It won’t be a total loss for public-television in most of these cities. Many are served by “repeater” stations that essentially rebroadcast programming from another nearby station. In larger cities, multiple public-TV stations are not uncommon and losing one might not have a big impact, especially if remaining stations pick up some of the programming that will go missing when the affected station signs off. But in some states, the loss of free over the air TV stations could exacerbate the growing problem of maintaining quality coverage of local news and events.

For cord-cutters, local free television remains an essential part of the kind of TV package consumers used to pay the cable or satellite company to receive. Local stations still deliver an important public service to the community through news and public affairs programming, but that responsibility is increasingly taking a back seat to profits.

The state of New Jersey is served by two media markets – one in New York City, the other Philadelphia, neither in New Jersey.

For some states, the challenge to deliver locally focused programming in areas dominated by media markets in adjacent states has been a problem for decades. No state has faced this challenge more than New Jersey, divided in half and served by two out-of-state media Designated Market Areas (DMAs). The northern half of New Jersey is part of the New York City TV market and the southern half is part of the Philadelphia DMA. As a result, local stories about events inside New Jersey can get lost in favor of stories centered on New York or Philadelphia, even more so during today’s era of media consolidation and cutbacks in newsroom budgets.

A Free Press project is trying to address that problem by encouraging New Jersey state officials to create a public trust fund from part of the hundreds of millions earned by the state’s stations from the spectrum auction to support community-driven projects, responsive local journalism, serious investigative reporting, civic technology and essential public media outlets. The campaign seeks to remind state and local officials that the airwaves still belong to the public, and the stations collecting large sums from the auction agreed to serve their communities in return for obtaining that license to broadcast. Simply putting auction proceeds into their pockets isn’t serving the public interest.

“It’s only right that money from the sale of the state’s 20th-century media outlets be used to create a new, forward-thinking media landscape for this century that focuses on local communities and is attuned to residents’ needs,” said Mike Rispoli, Free Press Action Fund journalism campaign director and director of the News Voices: New Jersey project. “When local stations go off the air, news coverage disappears. That means people are less informed, civic participation drops and political corruption increases. Spectrum revenues must be used to support those who rely on locally produced news and information to engage with their neighbors, learn about volunteer opportunities, make decisions about voting, run for public office, get information about small businesses and support their children in local schools.”

Just two New Jersey public-television stations WNJN and WNJT together collected more than $330 million in auction revenues — two of the largest individual payouts of any noncommercial stations. Now both stations plan to go off the air. Where exactly will that money be going?

The News Voices: New Jersey project wants some of it spent on making sure New Jersey residents have a New Jersey-focused news media, particularly in a state where political scandals have not been uncommon.

“Some ideas we’ve heard from journalists and community members on how to use these public proceeds include support for locally focused digital news startups; apps and tools to help people sift through public data and expedite Freedom of Information Act requests; robust community-engagement projects designed to lift up voices long ignored by newsrooms, in communities of color, immigrant communities, and other underserved areas; and media-literacy programs to identify and combat the spread of fake news and disinformation,” Rispoli said.

The group is asking interested members of the public to sign up for the project and help advocate for stronger newsrooms and communities. A similar effort is also getting underway in North Carolina.

Siren Song: Altice USA CEO Asks Workers to Trust Him Despite Ruthless Cost-Cutting Reputation

The CEO of Altice USA took time away from his luxurious homes in Switzerland and New York this week to sit down with concerned middle and working-class Cablevision employees at a meeting held at an unassuming company garage in the Bronx.

Dexter Goei has worries of an organized workforce on his mind. A recording of the meeting provided to Stop the Cap!, showed Goei spent most of his time trying to convince employees they could trust him to protect their future employment at the cable operator.

Since Altice acquired Cablevision in the U.S., the French media have criticized the ‘naiveté of American regulators’ that largely accepted the promises and commitments of the rapidly growing international cable and wireless company at the same time Altice was regularly accused of reneging on the promises it made to regulators in Europe, especially in France. The company has been fined at least twice for breaking those commitments.

Altice’s entrance into the United States began with the acquisitions of Suddenlink, a relatively small cable company serving forgotten small cities in states like Texas and West Virginia and the should-have-been-acquired-by-Comcast-or-Time-Warner-Cable-years-ago oddity Cablevision, which made money for its founding family the Dolans for decades, selling cable mostly in suburban downstate New York.

In America, those acquiring a rival operator are usually asked to show how a deal is “in the public interest” while also submitting to a review to ensure the transaction does not irreparably harm competition. For Suddenlink customers, almost anything Altice could do would be an improvement for a cable company run by a guy who admitted on national television that the days of big investments by cable companies in service improvements were over. It was time to reap the profits, to paraphrase then-CEO Jerry Kent. And so they did, coming up with innovative usage caps and overlimit penalties for customers who dared to use the cable company’s internet service to circumvent a costly cable television package.

Cablevision, in contrast, was usually better regarded than the cable giants that surrounded it. Although technologically aggressive, Comcast canceled most of the goodwill earned for its service improvements by treating customers like patrons of an S&M club. Time Warner Cable was also loathed for its “last to do anything” upgrades, disengaged customer service, and reliable rate hikes, but at least they learned from earlier customer service mishaps and generally relied on a policy of being nicer to customers that threatened to leave.

Cablevision innovated on ways to keep customer loyalty after Verizon FiOS arrived to compete in large sections of its service area. The company spent millions on a major Wi-Fi network for the benefit of its commuting customers, launched broadband speed upgrades earlier than most, and after one embarrassing episode with the FCC showing their speed claims were not met by reality, they have usually overachieved ever since.

In 2016, almost everything except Comcast changed. Time Warner Cable was successfully sold to Charter Communications and a self-styled ‘Baron of the Stock Exchange‘ — Patrick Drahi, managed to invade the United States and successfully acquire the two cable operators, despite admitting he would gut spending and wring hundreds of millions in savings out of the transactions for the benefit of his investors.

Mr. Drahi’s penchant for ruthless cost-cutting isn’t new, and he’s been dubbed “The Slasher” in Europe since decimating the budget at his French wireless and broadband company SFR-Numericable. French unions hate him, and not just those representing workers at his telecom businesses. Since the Altice Media Group took control of several major print publications in France, independent photographers have complained Altice slowed payments to a crawl, leading to an open letter to the French government from several press photography agencies demanding action. To date, Altice owes more than a half million dollars in outstanding licensing payments.

Critics contend this is nothing new for Altice, often denounced for not paying vendors (or paying them only after they agree to provide discounts) or alienating employees with radical cost cutting and cutbacks. Customers don’t like what they see either, with more than a million dropping SFR for other providers.

But that was not a story Goei was prepared to share with Cablevision workers in the Bronx.

Instead, Mr. Goei told employees he turned his back on a lucrative career on Wall Street after the great financial meltdown of 2008 and saw more potential running cable companies in Europe and the United States. Goei told the workers Altice’s business plan is to acquire cable and telecom companies and reinvest the profits in improved customer service and better technology for customers. Actual customers of Altice’s cable companies in Europe are still waiting for those improvements.

SFR-Numericable, which Goei claimed this week won acclaim from French regulators for being the most reliable in the country, gets scathing reviews criticizing the company for its very frequent service outages, tricky marketing, and incoherent customer service. “Legalized banditry,” claimed one customer. Another described the offshore customer care center as “the Moroccan nightmare,” with more than a few call center workers demonstrating less-than-capable comprehension of French. Service outages are rampant and represent the single biggest reason customers have canceled service.

Goei complained that acquisitions and upgrades have been complicated in Europe by former managers grabbing their golden parachutes and abandoning the acquired companies (without mentioning Altice’s well-known reputation for draconian salary cuts and downsizing) and slowdowns from underperforming suppliers (despite the fact some vendors in France complained their invoices went unpaid for weeks or months, leading to complaints to government regulators).

Forthcoming upgrades are one of the reasons Goei was in the Bronx to sell employees on the merits of Altice Technical Services (ATS), a spinoff entity expected to eventually manage all of Altice’s technical infrastructure and the technicians that will care for it.

“We don’t want to contract out,” explained Goei, who aspires to manage Altice’s forthcoming upgrades effectively in-house through ATS instead of going to outside contractors. To manage this, Goei needs to convince Altice USA’s technical employees to leave Altice and join ATS.

Will ATS protect workers and customers or simply help Altice rid itself of regulator-imposed conditions for its acquisitions?

Goei’s statements seemed to suggest that most will need to make that transition if they want to remain a part of Altice for more than five years, hinting ATS will increasingly manage more and more of Altice’s technical needs, eventually making Altice USA employees potentially redundant.

Goei also hinted ATS might perform work for more than just Altice, which underlined concerns for union organizers that ATS is being established as an independent contracting entity that would not be subject to any regulatory job protection conditions that came with the approval of Altice’s acquisition of Cablevision.

Altice’s plans to rip out and replace coaxial cable with an all-fiber network will likely provide work for the next 7-10 years, notwithstanding the ambitious five-year timeline Altice gave for the fiber upgrade. But employees peppered Goei with questions about job security, benefits like vacation pay, and exactly who will be running ATS and what their opportunities for advancement are.

The transition to ATS might effectively be in name only, because Goei claimed ATS will have full access to employees’ files and work history with Altice and Cablevision, and if managers make the transition to ATS, employees could report to the same manager or supervisor they did under Altice.

“We’re not bringing in some Mexican guy” to run things Goei said to nervous laughter and raised eyebrows from the almost all-minority audience.

Goei’s question and answer session is unlikely to assuage concerns ATS could evolve into little more than Altice’s version of an independent subcontractor with enhanced loyalty to Altice USA. Despite assurances Altice is not looking for excuses to radically trim its workforce, Altice’s history shows job cuts are an integral part of what the French business press calls “The Drahi Method.”

At France’s SFR, Drahi made clear he is looking to cut at least 5,000 paid positions, reducing the workforce from 14,700 to 9,000, starting in July. Observers suspect Altice’s reliance on ATS to act as an umbrella technical department for all of Altice’s North American acquisitions guarantees workforce reductions, if only to eliminate redundancy. Altice has already shown a willingness to lay off employees at its Cablevision and Suddenlink call centers.

But there is one area where Altice is willing to spend.

Le Temps reports Drahi is opening the checkbook to beef up its Geneva executive headquarters in Switzerland, increasing the workforce tenfold and centralizing business operations for the Altice empire. The office is packed with ex-Wall Street bankers and businessmen with a reputation for ruthlessness. Goei’s office is in the building, as is the company’s director — Michel Combes. Combes was notoriously hired away from Alcatel right after demonstrating a talent for swinging the job cutting ax. They are joined by Burkhard Koep, a former Morgan Stanley investment banker in charge of mergers and acquisitions.

The top shelf executives have moved themselves and their families from London, New York, Paris, Tel Aviv and Lisbon to the posh neighborhoods around suburban Geneva, where homes are more likely to be called estates.

The Geneva office conducts business through heavy reliance on videoconferencing and racking up frequent flier miles traveling abroad. Often absent is Drahi himself, who prefers to conduct business from his Zermatt-based luxury cottages. As much as executives spend their time pondering the next acquisition, Le Temps reports they also spend their weekends trying to renegotiate the company’s enormous debt load by seeking refinancing at lower interest rates.

“They play a bank against each other by saying: we will refinance to 6% the debt you loaned us at 7%,” reported the news outlet.

But Altice’s Geneva headquarters did not come for free. Drahi recently introduced a new franchise fee obligating each cable or telecom unit to pay 2-3% of their revenue to Mr. Drahi’s Switzerland office. In the first year that is expected to raise at least $550 million dollars. While popular with Swiss tax authorities, the substantial royalty payments are expected to reduce available cash for upgrades and debt service. Nobody is sure where the money will ultimately end up.

The president-elect’s choice for chairing the Federal Communications Commission may conclude there is little reason to even have a regulatory agency for telecommunications.

Donald Trump has gone farther to the right than any president-elect in modern history, at least in how he has chosen to staff his transition team. Having a place on that team is traditionally seen as a fast track to getting a plum cabinet position or leadership role in Washington’s bureaucracy, and Mr. Trump’s choices for overseeing tech and telecom policy have more in common with Ayn Rand than Ralph Nader.

Two of the top picks for his FCC transition team are true believers in the “laissez-faire/the free market always knows best” camp, but both have also been on the payroll of Big Telecom companies that believe special favors are perfectly acceptable.

The notorious D.C. revolving doorman Jeffrey Eisenach, now a leading contender for the next chairman of the FCC, is a man with so many hats that the New York Times published an exposé on him, noting it has become hard to tell whether Eisenach’s views are his own, those of his friends at the corporate-friendly American Enterprise Institute (AEI), or those of various telecom companies like Verizon that have had him on the payroll.

Eisenach has been heavily criticized for his especially close ties to telecom companies, fronting their positions at various Washington events often under the cover of his role as a “think tank scholar” at AEI. Eisenach despises Net Neutrality with a passion, and has used every opportunity to attack the open internet protection policies as overregulation. At the same time, Eisenach’s consulting firm was also doing work on behalf of the cellular telephone industry, including Verizon and other cell companies.

Eisenach is exceptionally casual about disclosing any paid financial ties, and has received criticism for it. His prominence as a member of the Trump transition team is therefore curious, considering incoming vice president Mike Pence has tried to clean the transition team of lobbyists.

Trump’s other leading contender is Mark Jamison, a former lobbyist for Sprint who now works for AEI. Jamison has received less attention and scrutiny from the telecommunications press, but in some cases his views, well-represented on his blog, are even more extreme than those of Mr. Eisenach.

In a 2013 report to the Florida Public Service Commission, Jamison looked down on consumer involvement in creating and enforcing telecom regulations:

Does customer involvement in regulation improve outcomes? Not always, according to PURC Director Mark Jamison. Speaking at the Australian Competition and Consumer Commission annual conference in Brisbane, Australia, Dr. Jamison explained that the key question is, “Who do we expect to change when regulators and customers engage?” Most discussion on customer engagement is about customers informing regulators about customer preferences and utility practices. Learning by regulators is important, but so are the building legitimacy, ensuring regulator integrity, and engaging in adaptive learning that are largely about changing customers. An over emphasis on changing regulators can result in pandering to current norms, which hinders institutional strengthening and adaptive work.

In that same report, Jamison echoed some of the same sentiments he has made on his blog, questioning the wisdom of regulating telecommunications policies, providing subsidies to ensure affordable telephone service (Lifeline), subsidizing rural broadband expansion, and maintaining the core concept of universal service, which means assuring every American that wants utility service can affordably get it.

Jamison even questioned the need for the FCC in its current form, particularly overseeing rate regulation, fair competition, and enforcing rules that overturn the telecom industry’s cartel-like agreement on mandated set-top boxes (and rental fees), Net Neutrality and interconnection agreements and fees, and consumer protection:

Most of the original motivations for having an FCC have gone away. Telecommunications network providers and ISPs are rarely, if ever, monopolies. If there are instances where there are monopolies, it would seem overkill to have an entire federal agency dedicated to ex ante regulation of their services. A well-functioning Federal Trade Commission (FTC), in conjunction with state authorities, can handle consumer protection and anticompetitive conduct issues.

Content on the web competes well with content provided by broadcasters, seeming to eliminate any need for FCC oversight of broadcasters. Perhaps there is need for rules for use of the airwaves during times of emergency, but that can be handled without regulating the content providers themselves.

The only FCC activity that would seem to warrant having an independent agency is the licensing of radio spectrum. Political interference in spectrum licenses would at least dampen investment and could lead to rampant corruption in the form of valuable spectrum space being effectively handed out to political cronies.

Jamison’s theories are interesting, but in the real world they are impractical and frankly untrue. Readers of Stop the Cap! have long witnessed the impact of the insufficiently competitive telecom marketplace — higher broadband fees, data caps, and relentlessly terrible customer service. The costs to provide service have declined, but prices continue to rise. For many consumers, there is barely a duopoly for telecom services with cable companies taking runaway victory laps for providing 21st century broadband speeds while an area’s phone company continues to try to compete with underinvested DSL. The FTC has been a no-show on every important telecom issues of our time, in part because the industry got itself deregulated, leaving oversight options very limited.

It wasn’t the FTC that halted AT&T’s attempted buyout of T-Mobile and Comcast didn’t lose its struggle to acquire Time Warner Cable because of the FTC either. Pushback from the FCC and Department of Justice proved to be the only brakes on an otherwise consolidation-crazed telecom sector.

Oversight of broadcasting remains important because unlike private networks, the airwaves are a publicly owned resource used for the good of the American people. Jamison would abandon what little is left of regulations that required broadcasters to serve the public interest, not just private profit motives. Programming content is not the only matter of importance. Who gets a license to run a television or radio station matters, and so does the careful coordination of spectrum. It is ironic Jamison theorizes that a lack of regulation (of spectrum) would lead to political interference, rampant corruption, and cronyism. Anyone who has followed our experiences dealing with many state regulatory bodies and elected officials over telecom mergers and data caps can already use those words to describe what has happened since near-total deregulation policies have been enacted.

Public and private broadband competitors like local communities and Google have been harassed, stymied, and delayed by organized interference coordinated by incumbent telecom companies. Allowing them off the leash, as Jamison advocates, would only further entrench these companies. We have a long history in the United States dealing with unfettered monopoly powers and trusts. Vital infrastructure and manufacturing sectors were once held captive by a handful of industrialists and robber barons, and consumers paid dearly while those at the top got fabulously rich. Their wealth and power grew so vast and enduring, we are still familiar with their names even today — Rockefeller, Vanderbilt, Morgan, Schwab, Mellon, Duke, and Carnegie, just to name a few.

Jamison wrote a blog entry mapping out how to ultimately destroy the effectiveness of the FCC:

  • Take direction from politicians,
  • Promote partisan divides,
  • Change the language in orders after the FCC votes,
  • Ignore the facts, or at least manipulate them.

Jamison intended to argue that represented the current state of the Obama Administration’s FCC, but it is just as easy to ponder what comes after the Trump-lit bonfire of burned regulations and oversight, leaving only Big Telecom companies and their paid mouthpieces to manipulate the facts.

Jamison also undercuts his own argument in two other ways: first by declaring Michael Powell one of the great FCC chairmen of the modern era (after leaving the FCC he became president of the country’s biggest cable industry lobbying group) and second by relying extensively on quoting people with direct and undisclosed financial ties to the telecom companies that will directly benefit from implementing Jamison’s world views.

Who doesn’t ultimately matter much in this debate, according to Jamison, are customers and consumers, whose input in these discussions is dismissed as either trendy or misinformed. No similar conclusions are forthcoming from Mr. Jamison about the influence and misinformation emanating from huge telecommunications companies that keep more than a few of his self-interested sources in comfortable suburban Virginia homes, driving their nice cars to and from the offices of shadowy think tanks that receive direct corporate funding or go out of their way to hide their benefactors.

Appointing either Mr. Eisenach or Mr. Jamison to the Federal Communications Commission would be the ultimate rubber stamping of business as usual in Washington, exactly what Donald Trump ran against. That may make Verizon or Comcast “great again,” but it certainly won’t help the rest of the country.

“Net Neutrality would not improve consumer welfare or protect the public interest,” came the considered view of one Jeffrey A. Eisenach, testifying before the Senate Judiciary Committee in September 2014. “The potential costs of Net Neutrality regulation are both sweeping and severe. It is best understood as an effort by one set of private interests to enrich itself by using the power of the state.”

Mr. Eisenach was introduced on the printed formal agenda as a “visiting scholar at the American Enterprise Institute.” If one looked at a transcript of his written testimony, they would find he also co-served as “co-chair of NERA Economic Consulting’s Communications, Media and Internet Practice.” But his views could have effectively represented all the above and more.

The New York Times this week published a two-part article examining the thin lines between public policy scholars, lobbyists, researchers, advocates, corporations, and private citizens. It is an important piece that details the shady world of bought and paid for research, academia, corporate lawyers and lobbyists, and Washington lawmakers that too often accept what they are told without following the money.

On that September day back in 2014 Eisenach wanted his views to be attributed only to him.

“While I am here in my capacity as a visiting scholar at the American Enterprise Institute, the views I express are my own, should not be attributed to A.E.I. or to any of the organizations with which I am affiliated,” Eisenach told the Senate committee.

What was considerably less clear is the name of the client (or an affiliated trade organization) that has underwritten almost every one of a dozen studies he has published on internet-related issues from 2007-2016 — Verizon, the same company that shares his hostile views towards Net Neutrality.

Over the years, it has become difficult to tell whether Eisenach’s views, articles, and study findings are his own, those of his study sponsor, and/or those of his employer. Just tracking Eisenach’s ever-changing employment record was no easy task. In the fall of 2013, Eisenach was the director of the American Enterprise Institute’s new “Center on Media and Internet Policy.” Just a few months later, he joined NERA, one of the country’s oldest economic consultancy firms, as a senior vice president in its telecommunications practice.

From each of these positions, Eisenach can pen the views of some of America’s largest telecommunications companies under the guise of an “independent” study, an invaluable cover tool for a member of Congress confronted with voting on behalf of corporate friends at the cost of consumers in the district.

“A report authored by an academic is going to have more credibility in the eyes of the regulator who is reading it,” Michael J. Copps, a former FCC commissioner who is now a special adviser for the Media and Democracy Reform Initiative at Common Cause, told the newspaper. “They are seeking to build credibility where none exists.”

aei“Let’s say you’re in legal and you want to have a paper that says what you want it to say,” said ex-Verizon economist Dennis Weller. “You could have a bunch of economists in house and ask them if they agree with you. How much easier would it be to go to an outside economist and say, ‘How about if I pay you $100,000 to write this?’”

With appropriate disclosure that a company like Verizon paid $100,000 for a report that exactly matches Verizon’s public policy agenda might raise questions on Capitol Hill as to its veracity and independence. If that disclosure goes missing or is hidden under a third-party like a trade association, a lawmaker might assume the report was produced independently and the strong corroboration of Verizon’s views is just a coincidence. That kind of credibility can be worth millions to any company confronting a debate over regulatory policy.

“[Eisenach] is good at linking big theoretical ideas to policy, and he’s been good at making money doing that,” added Weller. “He’s been good at moving from think tank to think tank and company to company, and I don’t think he’s ever lost money doing it.”

The New York Times investigation found while Eisenach testified before Congress ostensibly as a private citizen, he was also filing formal comments to the FCC as a “scholar” with the American Enterprise Institute, was meeting privately with FCC commissioners, organized public briefings that featured powerful senators like John Thune (R-S.D.), who happens to be the chairman of the Senate Commerce Committee. That committee also has direct oversight over the FCC and has spent the last three years scrutinizing FCC chairman Thomas Wheeler. Eisenach even briefed the two Republican FCC commissioners about what AEI’s general counsel had to say about Wheeler’s efforts to get Net Neutrality in place at the FCC. Eisenach offered both commissioners speaking time at AEI events, urging at least one of them to attack Net Neutrality.

“Net Neutrality is obviously top of mind,” he said in an email to that commissioner, Michael O’Rielly. “I’d be delighted if you would use the opportunity to lay out the case against.”

net_neutralityThe Times reported Eisenach was hardly alone opposing Net Neutrality. Just weeks after becoming chairman, Wheeler received a letter signed by more than a dozen prominent economists and scholars affiliated with various Washington think tanks or academic institutions. They wanted Wheeler to reject Net Neutrality regulations. The letter attempted to distance the signers from any corporate agenda, noting in a footnote that nobody was compensated for their signature on the letter.

On the other hand, of the dozen studies that were included or referenced in their letter as “evidence,” more than half were entirely funded by giant telecom companies that oppose Net Neutrality. Mr. Wheeler would need a magnifying glass and plenty of free time to ferret out the industry funding disclosures in those attached studies, which were buried in footnotes.

When the industry took the FCC to court over broadband regulation or Net Neutrality, it was more of the same. Verizon was successful opposing an earlier FCC rule on Net Neutrality by trotting out almost two dozen studies and declarations that opposed regulatory oversight — more than half sponsored entirely by the telecommunications companies or trade associations that despise Net Neutrality. Many other studies were written by think tanks and scholars that also had direct financial ties to the companies.

Another key factor in the debate about Net Neutrality was the cost of implementing it. Again, the incestuous ties between the telecom industry, think tanks, and academia would serve up the “right answers” for Big Telecom’s case against Neutrality when two economists issued a controversial “policy brief” that claimed Net Neutrality would cost $15 billion in new fees and retard broadband expansion and upgrades. (The $15 billion figure came under immediate ridicule by consumer groups that effectively suggested the study authors ‘made it up,’ a case that may have been proven to some degree when the authors suddenly revised it down to $11 billion.)

Robert Litan, then a senior fellow at Brookings and Hal Singer, who used to work at the Progressive Policy Institute, would quickly come under greater scrutiny than Eisenach, probably because their report became central to the industry’s battle against Net Neutrality. The National Cable and Telecommunications Association (NCTA) even built an advertising campaign against Net Neutrality around their study. Politicians opposed to Net Neutrality also regularly quoted from Litan and Singer’s findings to explain their strong opposition to the net policy.

Lost in the debate is who paid Mr. Litan and Mr. Singer for their work. Their employer, Economists Inc., yet another inside-the-Beltway consulting firm, didn’t exactly publicize their “select clients” included AT&T and Verizon — two of the largest opponents of Net Neutrality.

Using think tanks to bolster corporate lobbying has become so common, it has attracted the attention of some members of Congress.

Litan collided with one of the Senate’s fiercest consumer advocates and watchdogs — Sen. Elizabeth Warren (D-Mass.) in a September 2015 hearing about a rules change fiercely opposed by investment bankers that would require financial advisers recommending retirement-associated investments to put their clients’ interests ahead of their own personal gain. Warren has championed the cause of ending high bank and investment-related fees that eat away investor returns. Some of the worst offenders convinced financial advisers to recommend their funds by kicking back large bonus commissions, which enriched the adviser and the investment bank but left seniors hit hard by lost potential earnings.

Litan’s research questioned the potential benefits of upping ethical standards. He wrote the costs to the banking and investment community to implement the rules would far outweigh any benefits to investors. Litan casually mentioned his affiliation with Brookings, a think tank, to promote his research’s credibility. He didn’t call attention to the fact his 28-page study was produced for a client: Capital Group — a massive financial services company with $1.39 trillion in assets. It would be directly impacted by the imposition of the new rules, which it strongly opposed.

Capital Group paid Economists, Inc. $85,000 for the study. Litan’s cut of the action was $38,800 — or $1,386 per page.

Warren complained Litan was not exactly forthcoming in disclosing his personal gain and his ties to a major opponent of the new rules under consideration.

“These disclosures are problematic: they raise significant questions about the impartiality of the study and its conclusions, and about why a Brookings-affiliated expert is allowed to use that affiliation to lend credibility to work that is…editorially compromised,” Sen. Warren wrote in a letter to Brookings President Strobe Talbott.

The embarrassment to Brookings, which has increasingly relied on corporate-funded research to fund its work, led to rumors Litan was asked to leave, and he resigned shortly thereafter. Litan downplayed the event, calling it a “minor technical violation” of Brookings’ ethics policy, which prohibits those associated with the think tank from using their affiliation with Brookings in any research report or testimony.

The incident fueled consumer groups’ arguments that cozy arrangements between purportedly independent scholars and academics and corporate entities too often results in bought-and-paid-for- research not worth the paper it is printed on. A clear conflict of interest and the lack of prominent funding disclosures makes such reports suspect at best and worthless in many other cases, because no company paying for a report is going to make it public if it conflicts with their agenda.

Remarkably, other economists, many also engaged in producing reports for corporate clients, rushed to the defense of… Mr. Litan, calling his removal from Brookings the result of a witch hunt.

A letter signed by former Clinton economic advisers W. Bowman Cutter and Everett Ehrlich; Harvard University international trade and investment professor Robert Z. Lawrence; former Clinton chief budget economist Joseph Minarik; and former Clinton economic adviser Hal Singer, who co-authored the report that got Litan in hot water with Sen. Warren, claimed as a result of Litan’s forced resignation, critics of their reports could threaten the credibility of their work with an “ad hominem attack on any author who may be associated with an industry or interest whose views are contrary to [Sen. Warren].”

“Businesses sometimes finance policy research much as advocacy groups or other interests do,” the economists wrote. “A reader can question the source of the financing on all sides, but ultimately the quality of the work and the integrity of the author are paramount.”

Singer has since left the Progressive Policy Institute.

D.C.’s revolving door has also provided lucrative work for those out of government jobs and now working in the private sector, often lobbying those still in government.

Rep. Greg Walden (R-Ore.) had no problem introducing a Wall Street Journal op-ed piece into the Congressional Record written by Robert McDowell, who wears several hats at the Hudson Institute. He’s a “scholar,” a “telecommunications industry lawyer” at a firm retained by AT&T to fight Net Neutrality, and a lobbyist. If his name is familiar to you, that might be because McDowell used to be a commissioner of the Federal Communications Commission from June 1, 2006 to May 17, 2013. Now he is paid to kill Net Neutrality for AT&T.

None of that seem to faze Walden or raise questions about the credibility of the opinion piece he sought to have added to the official record.

“Everyone’s got their point of view,” Walden said last year. “And some of them get paid to have that point of view.”
