N.Y. Public Service Commission Staff Unimpressed With Charter-Time Warner Cable Merger Proposal

ny pscStaffers at the New York State Department of Public Service have recommended the Public Service Commission reject the merger of Charter Communications and Time Warner Cable unless significant concessions are made, largely because the alleged benefits are insufficient for New York cable customers.

Although cable operators are largely deregulated under federal law, state and local governments retain control over cable franchise agreements, which permit operators to sell cable television programming. To complete its merger, Charter Communications must win approval to transfer Time Warner Cable franchise agreements to the merged entity, dubbed “New Charter.” That gives state regulators leverage to win concessions and oversight mostly eliminated after the cable industry was deregulated by the federal government.

New York law requires cable operators seeking to join forces to prove the merger is in the public interest and that ratepayers will obtain a “net positive benefit” from the merger. In plain English, Charter must share the benefits of the merger with cable customers in New York, either from lower prices, better service, or both. Charter proposes to offer those benefits in the form of improved service:

  • Additional investments in all-digital systems in Time Warner’s service areas by completing digitization within 30 months of the close of the proposed transaction. This would include faster (60 megabits per second (Mbps) minimum) broadband speed offerings;
  • Merger-specific efficiencies, which would generate savings in a number of areas including combined purchasing power, overhead, product development, engineering, and information technology;
  • Merging Charter’s New York assets, now isolated from the rest of its service territories, to create efficiencies through reduced costs, improved customer service and additional service offerings;
  • Bringing overseas Time Warner jobs back to the United States and adding in-house positions;
  • Expanding to New York, within three years of the close of the proposed transaction, Bright House Networks’ low-income broadband option (Connect2Compete) which partners with schools to provide a $9.95 low-cost Internet service, discounts on Internet-capable devices, and innovative digital literacy training;
  • Promoting the deployment of advanced voice services and enhancing competition in the voice marketplace by creating a more robust competitor;
  • Pledging not to block or throttle Internet traffic or engage in paid prioritization, whether or not the Federal Communications Commission’s (FCC) Open Internet Order is upheld. This commitment would continue for three years, without regard to the outcome of the ongoing litigation challenging federal reclassification.

charter twc bhThe Public Service Commission staff looked at the reported annual “synergy savings” of $800 million anticipated by New Charter from streamlining operations and winning enhanced volume discounts to determine the “net positive benefit” for New York consumers from the merger. Here is the formula the PSC used:

  • New York customers represent 10.879% of New Charter’s customer base — 2.6 million of New Charter’s 23,900,000 combined Charter and Time Warner Cable customers;
  • The agency presumes customers and shareholders nationwide should each receive 50% of the $800 million in savings;
  • Knowing New York deserves roughly 11% of that $800 million, divided equally between customers and shareholders, New Charter owes New Yorkers $43.5 million in benefits annually.

Staffers at the PSC prefer to deal in hard numbers and solid commitments when determining how New Charter intends to meet its obligation to New Yorkers, and all signs indicate the cable company was less than forthcoming. In colloquial terms, New Charter’s response to the PSC’s math can be summed up, ‘Whatever, you can trust us to work out the details after the merger.’

Alleged Deal “Benefits”

New Charter’s promises to invest more capital in New York than Time Warner Cable came with no specific investment commitments, despite repeated efforts to pin New Charter down on its spending plans. Some of the details about New Charter’s spending proposals are redacted in the document, but it isn’t difficult to discern reading between the lines New Charter has no plans to continue Time Warner Cable’s Maxx upgrade program beyond commitments already made, which in New York is limited to New York City, leaving all of upstate New York off the Maxx upgrade list. PSC staffers believe if Time Warner Cable remained independent, some or all of upstate New York would receive those Maxx upgrades in the near future.

new-charter-combined-footprint-640x480New Charter claims another merger benefit is their plan to upgrade Time Warner customers with new and improved IP-capable ‘Worldbox’ equipment and DVR’s offering more recording capacity. While conceding there were some minor benefits from offering customers more capable equipment, PSC staffers were skeptical New Charter’s plan represented much of a “consumer benefit,” because the equipment is not cheap and New Charter’s plan to eliminate analog television signals will mean every customer will have to rent one of Charter’s new boxes or a near equivalent.

New Charter’s promises of faster Internet speeds and upgraded cable systems would normally be seen as a direct consumer benefit, except Time Warner Cable already committed to its own Maxx upgrade effort that often outperforms what New Charter is promising. “Digitalization and associated speed increases can only truly be considered a benefit if [New Charter] can adequately demonstrate that Time Warner would not have otherwise completed a similar transition to an all digital, faster network in a similar timeframe [roughly 30 months],” PSC staffers concluded.

New Charter’s promise to expand low-income Internet access to Time Warner Cable customers, utilizing Bright House Networks’ Connect2Compete program, comes with many of the same restrictions Comcast’s own Internet Essentials program include. That issue was hotly debated during Comcast’s attempt to acquire Time Warner Cable, and many public interest groups opposed the merger for that reason. New Charter has also made no commitments to continue Time Warner’s no-restriction/no-contract/no-prequalification affordable $14.99 Internet service. In fact, the merger may worsen the affordable Internet problem, not improve it.

New Charter’s proposed expansion of Time Warner Cable’s Wi-Fi hotspot program is vague and mostly undefined beyond a general commitment to deploy at least 300,000 new out-of-home Wi-Fi access points across its national footprint within four years. New York regulators want to know how many of those would be in New York. Using the same formula to find how many New Charter customers are located in New York, it seems reasonable that redacted sections regarding the Wi-Fi hotspot program included an inquiry if New Charter planned at least 30,000 new access points for New York. New Charter did mention that once the proposed transaction is complete, it expected to evaluate the merits of leveraging in-home routers as public Wi-Fi access points, much like Comcast is doing today. Because Time Warner Cable has no firm plans about its Wi-Fi hotspot deployment program beyond this year, PSC staffers found it difficult to determine which company had the better Wi-Fi proposal for New Yorkers.

Status Quo

Time Warner cable systems will become indirect, wholly owned subsidiaries of New Charter. New Charter states that they are not seeking authority for the transfer of customers or for any changes in rates, terms or conditions of service and New Charter will also continue to provide Lifeline Discounted Telephone Service (Lifeline).

The PSC expects that customers will keep the same digital phone number they had with Time Warner; will have the same billing account information; and, other technology will continue to work seamlessly. In other words, the transaction should be technologically transparent for consumers.

The regulator also acknowledges that, after the proposed transaction, there should be no diminution in the number of service provider options available to consumers in the video market because Charter and Time Warner do not have overlapping service areas in New York. Since the potential for direct competition no longer exists, this assertion is in no way a benefit of the proposed transaction, it simply maintains the status quo.

The Bad and the Ugly

Despite claims from both cable companies there will be no negative impact as a result of the proposed transaction, PSC staff identified a number of serious issues that are likely to result if the merger is approved without any enforceable conditions or commitments:

New Charter intends to load itself with massive debt to pay for the merger. As a result, the combined company’s credit rating will take a significant hit. PSC staffers fear New Charter will be vulnerable if economic conditions decline, even to the point of default or bankruptcy. But before that happens, New Charter’s need to cope with its debt could result in reduced investment in system upgrades.

“If the operating environment declines for cable companies […] New Charter will have more difficulty maintaining the investments necessary to bring expanded products and provide good service quality to its customers and, thus, this represents the single most substantial risk of the proposed transaction,” the PSC staff warns. “Accordingly, the Commission should seek to mitigate this risk and ensure that New York receives net benefits that are sufficient to offset this and the other potential harms.”

After requesting Charter disclose its often hidden regular, non-promotional prices most cable customers eventually pay, the PSC discovered contrary to Charter’s claims its prices are lower than Time Warner Cable, in fact they are often higher. Time Warner Cable customers typically also receive more cable television channels for their dollar than Charter customers do. Consumers who bundled multiple services together got the best savings, but even those deals were priced comparably to what Time Warner Cable charges. In short, promises of savings are illusory.

Broadband customers will also lose less-expensive broadband options they receive from Time Warner Cable. New Charter will drop Time Warner’s $14.99 “Everyday Low Price” 2Mbps Internet package, along with its Basic 3Mbps ($29.99) and Standard 15Mbps ($34.99) plans. New Charter’s least expensive broadband option for all consumers will be its Spectrum Internet 60Mbps plan, which carries an initial promotional price of $39.99 a month and a regular price just under $60.

“Time Warner’s lower priced offerings represent choices for New York consumers,” PSC staff concluded. “Any loss of these services would likely result in consumers paying more to ensure they have access to the same level of high-speed Internet service and its important resources.”

Jobs: New York is at risk of losing Time Warner Cable’s five call centers employing about 1,996 staff, 61 retail/walk-in centers employing 2,674 staff, nine corporate offices employing around 1,257 staff, nine service/maintenance locations employing approximately 1,687 staff, two media offices employing 435 staff, and 11 other service related functions employing about 1,003 staff, with total employment in the state of nearly 9,052.

PSC staffers have only received a commitment New Charter will not reduce the number of “customer facing” jobs in New York, but has said nothing about where the rest of its New York employees might be heading.

“There is a real danger that New Charter will look to gain operational efficiencies by moving/consolidating customer-facing jobs and other positions to out-of-state locations, despite any claims to the contrary,” the PSC staff reports. “Out-of-state service centers would make it difficult for it to maintain its current level of customer service. Longer wait times and lack of local knowledge could lead to increased frustration and dissatisfaction on the part of New York customers, and a significant decline in the overall level of service provided.”

What New York Regulators May Demand from New Charter to Approve a Merger

When the PSC staffers added everything up it found the proposed merger offered little benefit to New Yorkers and would not result in a net positive benefit for New York. The staff recommended the merger be denied unless specific commitments are made to sweeten the deal for New York customers.

First, New Charter should be required to develop a strategic implementation plan to build-out its all-digital network to every remaining unserved or underserved Charter and Time Warner franchise area in New York. This would mean that any resident in a town serviced by either cable company would be able to buy service even if the company does not now offer it. Currently, areas considered unprofitable to serve within a franchise area are often bypassed. This would no longer be permitted, and New Charter would have to wire any commercial building, business, school, or home.

Second, Charter’s record of performance in New York is already less than impressive. In Columbia County, Charter operates an ancient one-way video service-only cable system serving Chatham, N.Y. The PSC staff recommends Charter be required to bring that cable system up to date. More broadly, the staff recommends Charter be forced to spend more money on system upgrades and improved service than Time Warner Cable would have on its own.

Third, qualifications to subscribe to Charter’s proposed $9.95 discount Internet program should be broadened to exclude fewer customers. Its speed should also be raised to at least 10Mbps. For everyone else not qualified to subscribe to Connect2Compete, the PSC staff recommends requiring New Charter to continue offering Time Warner’s Everyday Low Price $14.99 Internet tier at an enhanced speed of 3Mbps for a minimum of five years.

Fourth, Time Warner customers in New York should be granted promotional broadband pricing without modem fees for a minimum of three years, making New Charter’s ongoing price of its 60Mbps tier $39.99 a month, not the $59.99 a month Charter typically charges after one year.

Fifth, New Charter should be required to offer broadband service at speeds up to 100Mbps throughout its New York footprint within 30 months of the close of the proposed merger. New Charter should also be compelled to install infrastructure capable of offering 1,000Mbps (1Gbps) service in New York City, Buffalo, Rochester, Syracuse and Albany by 2020.

Six, New York should require New Charter to change its current merger proposal to decrease leveraged debt and present a plan to restore the company’s credit rating to a level more comparable with Time Warner Cable.

Seven, New Charter should submit to oversight of its customer service performance by New York regulators, which will monitor how New Charter treats its customers. If the company falls below acceptable service standards, the PSC will have the authority to intervene based on an agreement with New Charter.

Finally, New Charter will agree to limit any significant changes to its New York call center or other customer-facing positions for at least two years and provide 90 days notice of any significant job relocations or reductions.

Your boss authorized $32 million on lobbying for a $45 billion dollar merger deal that just went down in flames on your watch and you were the guy the company depended on to push it through. What do you do?

If you are Comcast vice president David Cohen, you pray for a press release signed by the CEO reaffirming trust in you.

Cohen can breathe a little easier because Brian Roberts, CEO of Comcast, did exactly that.

“There is nobody better than David Cohen,” Roberts wrote. “He’s incredible at what he does and we are beyond lucky that he helps passionately lead so many areas at Comcast. He is also a huge supporter of Philadelphia and has done so much for the community. I’m extremely proud to have him on our team.”

It could have been much worse for Cohen, whose contract (and $15 million annual salary) is up at the end of this year. He’s the fourth biggest earner at Comcast, but his stunning arrogance before Congress and the public may have helped nail the coffin shut on a merger worth tens of billions.

Some media outlets have called Cohen myopic, unable to see the building torrent of opposition from consumers, public interest groups, and even regulators.

“They just lost a big battle. Does the company need a new general to supervise the Washington political strategy?” asked one source.

Comcast is already on the hunt for a new chief financial officer, with Michael Angelakis walking away to begin his own Comcast-backed private-equity fund before the deal imploded.

comcast twcComcast’s claims of “deal benefits” for consumers was perceived to be tissue-thin by legislators like Rep. Tony Cárdenas (D-Calif.), whose district would have seen Time Warner and Charter customers absorbed into the Comcast Dominion.

“[Cohen] was smothering us with attention but he was not answering our questions,” Cárdenas told The New York Times, adding in the early stages of the deal he was open to supporting it if his questions were addressed satisfactorily. “And I could not help but think that this is a $140 billion company with 130 lobbyists — and they are using all of that to the best of their ability to get us to go along.”

Comcast’s swaggering arrogance, condescending editorials, and dismissive attitude towards consumers questioning the deal rubbed a lot of lawmakers the wrong way.

Not only did Comcast offend lawmakers, but their all-important staffers as well. Staffers told the newspaper they felt Comcast was so convinced in the early stages that the deal would be approved that it was dismissing concerns about the transaction, or simply taking the conversation in a different direction when asked about them.

Elected officials associating themselves with Comcast, whose customer service on a good day is considered miserable, was also considered political poison. Few lawmakers were willing to publicly support foisting Comcast on their constituents. Local lawmakers in Time Warner Cable service areas who had no direct experience with Comcast customer service’s special touch of hell often did offer support, especially when a handsome check was sent weeks earlier. But voters with relatives or friends who loathed Comcast (practically everyone in America) were never fooled.

hurricane comcast“They talked a lot about the benefits, and how much they were going to invest in Time Warner Cable and improve the service it provided,” said one senior Senate staff aide, who spoke on the condition of anonymity because he was not authorized to speak publicly. “But every time you talked about industry consolidation and the incentive they would have to leverage their market power to hurt competition, they gave us unsatisfactory answers.”

Politicians asked to publicly support the deal characterized their sentiment as “leery” in polite company.

Rep. Maxine Waters (D-Calif.) was unwilling to victimize her constituents by replacing two bad cable companies – Time Warner Cable and Charter with one horrible alternative – Comcast.

“No amount of public-interest commitments to diversity would remedy the consumer harm a merged Comcast-Time Warner would have caused to millions of Americans across the country,” Ms. Waters said.

Other lawmakers who already understood Comcast as the Hurricane Katrina of cable companies got into storm shelters early.

“There are limits as to how effective even the best advocate can be with a losing case,” said Senator Richard Blumenthal, Democrat of Connecticut, who was critical of the deal from the start, “as this merger would have further enhanced this company’s incentive, its means and its history of abuse of market power.”

Comcast even cynically attempted to color and race match lobbyists with legislators, believing the shared ethnic heritage would be an added incentive.

Comcast, for example, assigned Juan Otero, a former Department of Homeland Security official who serves on the board of the Congressional Hispanic Caucus Institute and now works as a Comcast lobbyist, to be the point person to work with Mr. Cárdenas.

Meanwhile, Jennifer Stewart, an African-American lobbyist on the Congressional Black Caucus Institute board, was assigned to work with Marc Veasey, Democrat of Texas, who is also black. She personally appealed to Mr. Veasey’s staff, urging that he not sign a letter last August questioning the deal, according to an email obtained by The New York Times, citing the company’s work on behalf of the minority community. (Mr. Veasey still signed a related letter.)

Comcast also asked Jordan Goldstein, a former official at the Federal Communications Commission who is now a Comcast regulatory affairs executive, to work with Mr. Blumenthal’s office. Mr. Goldstein had previously developed a working relationship with Joel Kelsey, a legislative assistant in charge of reviewing the matter for the senator, who is a member of the Senate Commerce Committee.

Philadelphia Mayor’s Office Hiding Likely-Embarrassing Comcast Performance Survey Results to Protect Company

surveyPhiladelphia Mayor Michael Nutter has gone all out for Comcast, headquartered in the city he oversees. Not only has Nutter organized 51 mayors to sign a joint letter supporting Comcast’s $45 billion bid to take control of Time Warner Cable, he is also helping protect the cable company from embarrassing revelations about its performance in the city.

Philadelphia media and public interest groups are now increasing pressure on the mayor’s office to publicly release the results of an important survey the city conducted as part of its franchise renewal process. Almost two years ago, a random sample of 800 area Comcast customers and non-customers were surveyed by the city to get feedback about Comcast’s performance.

Suspiciously, the full results of the taxpayer-funded survey have been withheld from the public, although the city handed a complete copy of their findings to Comcast so the company can prepare to defend itself.

Once every 15 years Comcast must ask city officials for permission to continue providing cable television service. If the majority of residents surveyed excoriate the cable company and beg the city to grant the franchise to someone else, that could prove a serious embarrassment to Mayor Nutter’s campaign to promote Comcast’s merger with Time Warner Cable.

“We cannot be on hold any longer,” said councilman Bobby Henon, a Northeast Philadelphia Democrat. “We’re cutting short the time to publicly talk about the needs” before the franchises expire later this year, reports the Inquirer.

While the mayor’s office has had no trouble sharing everything they can with Comcast, other groups entitled to the information have only gotten scraps of it or denied access altogether.

The Consumerist found, for example, Philadelphia Community Access Media, responsible for public access programming in the city, has only been shown survey responses directly related to its operations.

Other groups, including West Philadelphia’s Media Mobilizing Project, have been shut out completely and refused access to the survey results or the franchise needs assessment.

“All I can say is that it’s still in process. We hope to get it out shortly, though I can’t put a specific date on it,” Mark McDonald, the mayor’s spokesman, told the Inquirer.

Releasing the survey results, which most expect will severely criticize Comcast, could embarrass the mayor who organized a letter writing campaign for Comcast that included language like, “Comcast has established itself as an industry leader and exemplary community partner who invests in its local communities and works hand in hand with local governments on critical social challenges like the digital divide.”

More importantly, it could embarrass Comcast in its renewed effort to push for approval of its merger deal with Time Warner Cable. If the company’s hometown residents rate Comcast lower than a snake pit, that could reverberate with regulators on the state and federal level considering Comcast’s merger request.

Nutter’s office has never exactly held Comcast’s feet to the fire.

This winter Comcast went unopposed seeking total deregulation for its service in Philadelphia. The city filed no comments with the Federal Communications Commission expressing concern over Comcast’s efforts to claim Philadelphia had effective competition, a designation that removes all regulatory oversight over pricing and services. Comcast will now be able to boost television and equipment prices even higher, and they did this past January.

McDonald told the Inquirer a fight wasn’t worth it and Comcast would likely win regardless of the city’s involvement. Nutter’s office appears to be adopting a similar hands-off attitude on renewing Comcast’s franchise for another 15 years without asking for much or anything in return.

Most Philadelphia residents don’t feel Comcast is subject to effective competition, regardless of what the mayor’s office thinks. Verizon FiOS only covers a small part of greater Philadelphia, leaving most residents with just one choice for broadband: Comcast. Verizon DSL no longer meets the FCC’s minimum standards to qualify as broadband.

netneutralityIn a major victory for consumers and public interest groups, the Federal Communications Commission this week will unveil fundamental changes in the oversight of high-speed Internet service, regulating it in the public interest as a public utility.

According to a report in the Wall Street Journal, FCC chairman Thomas Wheeler plans to include robust Net Neutrality protection in the proposal, insisting the agency has a right to oversee providers’ traffic management practices when they impact customers.

Central to the proposal is redefining broadband away from the current, barely regulated “information service” category that has allowed telecom companies to successfully challenge the FCC in court on almost every attempt to oversee broadband Internet service. Wheeler’s plan is expected to reclassify broadband as a “telecommunications service,” which will subject providers to more regulator scrutiny.

The FCC is expected to specifically prohibit providers from blocking, slowing down, or speeding up individual websites in return for financial compensation. The ban on “Internet fast lanes” and “toll booths” will protect Internet startups that would otherwise face an immediate disadvantage from well-heeled competitors that can afford to pay for enhanced access to customers.

But despite claims from Net Neutrality opponents, Wheeler is not expected to impose a one-size-fits-all regulatory regime over broadband. Instead, he prefers to reserve regulatory powers to police individual disputes such as those between Netflix, Comcast, Verizon and other providers which caused traffic slowdowns for consumers in 2014 until paid peering agreements were finalized, compensating ISPs for handling Netflix streaming video content.

Providers fear that reclassifying broadband under Title II rules could subject them to future oversight of practices like usage-based billing, usage caps, speed throttling, broadband pricing and availability. But the Obama Administration is on record opposing price regulation of broadband, and few expect the FCC will adopt a micromanagement approach to broadband oversight.

Wheeler’s proposal is likely to win a majority vote from the three Democratic commissioners. Opposition is a virtual certainty from the Republican minority.

The telecom industry promises whatever rules are adopted will face an immediate challenge in court.

For months, Time Warner Cable has deployed its legal team to prevent public interest groups from gaining access to the company’s exhibit of rural broadband buildout plans it had for New York, sent confidentially to the Public Service Commission as part of its proposal to merge with Comcast.

“This information would be difficult and costly for a competitor to compile, such that disclosure would significantly harm Time Warner Cable’s competitive advantage,” Time Warner Cable’s lawyers complained to regulators handling the case. “To allow competitors to have access to this information before Time Warner Cable has had a chance to market customers for which it speculatively built the line would not only negate any competitive advantage, it would allow its competitors to reap the benefits of Time Warner Cable’s investment, causing substantial competitive and financial injury to Time Warner Cable.”

“The compilation of information on all the Time Warner Cable New York deployments, distances, and passings into one document would be of enormous value to a competitor,” the lawyers added. “This information could not be developed independently by competitors, and any estimates developed through publicly available data or data from third-party sources, if possible at all, would be expensive and burdensome to assemble, and less accurate than the data provided in Exhibit 46. […] Therefore, disclosure of the compilation of information on the New York Rural Builds would cause substantial competitive injury to Time Warner Cable, and should be granted exception from disclosure.”

One might expect the mighty Exhibit 46 to contain all of Time Warner’s deepest secrets — secrets that if made public would hand the “competition” the keys to the cable kingdom.

After reviewing it, it quickly became clear the only thing Time Warner Cable intended to keep secret is how little expansion (and money) the company is devoting to rural New York. The nine-page spreadsheet shows Time Warner spent $5.3 million of New York’s money to expand service to, at most, 5,320 homes or businesses that had no access to cable before. The largest beneficiary of this expansion was the rural (and more affluent than its neighbors) town of Grafton, in Rensselaer County, where 1,152 homes now have access to Time Warner Cable if they want it. An additional 875 homes in Carlisle, Schoharie County now have access as well. Despite dire warnings from Time Warner, “competitors” are hardly rushing to the scene to engage in hand-to-hand combat with the cable company, which is the only provider of broadband service for many of these residents.

As for the rest of upstate New York, Exhibit 46 offers about as much relevance to “competitors” as it does to the rural residents still being bypassed by the cable company. Most of the entries show Time Warner’s expansion projects reached fewer than 10 homes in any particular area. In a large number of those instances, the expansion ended up serving just one additional home or business.

  • Town of Big Flats, Chemung County – (either 2 or 4 – the entry is duplicated)
  • Town of Pompey, Onondaga County – 1

Of the 5,320 homes or businesses now provided access to Time Warner service, 4,104 were subsidized up to 75 percent by the State of New York. Just 1,216 locations were apparently reached exclusively at Time Warner Cable’s own expense.

New Yorkers paid most of the bill because Time Warner Cable couldn’t find $5.3 million in their company coffers to bring broadband to rural residents. But Time Warner Cable could find $80 million to cover the golden parachute compensation package available to just one employee – CEO Robert Marcus, if the company is successfully sold to Comcast for around $45 billion.

Priorities.

No wonder Time Warner Cable’s attorneys fought so hard to keep the “expansion” effort a secret.
